You are kindly invited to the lecture of attorney mag. Uroš Ilić with the working title – Enforcement of Exclusion Rights out of Court Proceedings Within the framework of the Fourth Days on Insolvency Laws Mag. Uroš Ilić, attorney specialist in corporate and insolvency law shall hold a lecture on 20 April 2011 on creditors' rights enabling obtaining payment of protected claims based on an out of court sale of assets, the subject of their exclusion right. Considering the fact insolvency proceedings and compulsory settlement proceedings have no influence on exclusion rights, the creditor holding an exclusion right is in position to obtain a much faster and cheaper settlement of his/her protected claims compared to other creditors. No execution of court proceedings is needed for this purpose, the creditor can execute sale and obtain payment of his/her claims with no participation of court. Knowledge of obligatory legal rules applicable to such sale is therefore of crucial importance to obtain a valid payment of creditors' claims. The core rules, which need to be considered in such out of court sale will be presented, which depend on the type of asset, which is the subject of the exclusion right as well as contractual parties having established such guaranty.

Uroš Ilić with the working title – Liability in Damages of Management Board and Supervisory Board Members under Insolvency Laws Within the framework of the Fourth Days on Insolvency Laws Mag. Uroš Ilić, attorney specialist in corporate and insolvency law shall hold a lecture on 21 March 2011 on a very heated corporate law issue. The lecture can be briefly summarized as follows: »Acting in breach of managerial duties can give raise to liability in damages of management board and supervisory board members. Disregard of legally required dilligence standards means acting in breach of laws, which is one of the conditions for liability in damages. At the same time this is one of the elements considered in prosecution of criminal acts, which management board and supervisory board members may commit whilst executing their functions. Knowing the difference between characteristics of legal remedies in connection with liability in damages under the Civil Code, Company Law (ZGD-1) and the insolvency laws is crucial for a successful enforcement of claims in court proceedings within the framework of which difficult procedural issues arise, which have no unified response in case law.

Klemen Štefančič has joined the firm Klemen Štefančič was born in 1982 and graduated »cum laude« from University of Ljubljana, Faculty of Law in 2008. After the diploma he worked in legal department of one of the largest Slovene banks whereby he was mainly active in the field of insolvency, corporate, civil and enforcement laws. In 2010 he acquired the Trustee in Proceedings of Compulsory Compositions, Bankruptcies and Liquidations licence. He speaks English, Croatian, Serbian and Spanish. In his law practice in Law Firm Ilić he will be mainly focusing on corporate and insolvency law.
